Cleo AI Pro Subscription Terms

These Paid Subscription Terms (“Subscription Terms”) are published by Cleo AI (UK) Ltd (“we”, “us”, “our”), registered in England and Wales under company number 16667519. Our registered office is 4th Floor, The Gilbert, 40 Finsbury Square, London, EC2A 1PX. You can reach us at team@meetcleo.com.

1. About These Terms

1.1 What these Subscription Terms cover

These Subscription Terms apply when you subscribe to a paid-for version of Cleo (“Cleo Pro”). They supplement — and should be read together with — our general platform Terms of Service (“Platform Terms”), which govern your use of Cleo whether free or paid.

1.2 These Subscription Terms take precedence

If there is any inconsistency or conflict between these Subscription Terms and the Platform Terms, these Subscription Terms will prevail in relation to your Cleo Pro subscription.

1.3 Defined terms

Unless otherwise defined here, capitalised terms used in these Subscription Terms have the same meaning as in the Platform Terms.

2. Subscribing to Cleo Pro

2.1 Eligibility

To subscribe to Cleo Pro, you must meet the eligibility requirements set out in the Platform Terms, and additionally you must provide a valid Payment Method (bank details, card details, or other means supported by Cleo) before your subscription starts. Your Payment Method will remain active for collecting Subscription Fees until it expires or you revoke it using Cleo’s functionality.

2.2 How to subscribe

You can subscribe to Cleo Pro at any time using Cleo’s functionality. When you subscribe, the Subscription Fee applicable to your plan will be displayed to you on the Pricing Page before you confirm your subscription. By confirming your subscription, you agree to pay the Subscription Fee on the terms set out in these Subscription Terms.

2.3 Upgrading from the free version

If you are upgrading from the free version of Cleo, your Cleo Pro subscription will begin immediately on the date you confirm your upgrade.

3. What You Get with Cleo Pro

In addition to all features available on the free version of Cleo, a Cleo Pro subscription gives you access to:

  • Early Income: Request up to £300 of your earned but unpaid salary in advance (subject to eligibility — see Section 7 below)

  • Cleo Voice: Talk to Cleo hands-free

  • Advanced chat memory: Enhanced conversation memory compared to the free version

  • Conversation modes: Switch between faster or more thoughtful conversations with Cleo

We may update, add, or remove paid features from time to time. Where we make a material reduction to the features available under your subscription, we will give you at least thirty (30) days’ notice.

4. Your Right to Cancel Within 14 Days (Cooling-Off Period)

4.1 Your statutory right

Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your Cleo Pro subscription within 14 days of subscribing (the “Cooling-Off Period”), without giving any reason.

4.2 Immediate access and its effect on refunds

When you subscribe to Cleo Pro, you expressly ask us to begin providing you with access to the paid features immediately. If you cancel within the Cooling-Off Period, we will refund any Subscription Fees paid in full. 

4.3 How to exercise your cancellation right

To exercise your right to cancel within the Cooling-Off Period, cancel your subscription using Cleo’s functionality or contact us at team@meetcleo.com.

5. Subscription Fees, Payment, and Continuous Payment Authority

5.1 Subscription Fees

The Subscription Fees applicable to your plan are set out on the Pricing Page displayed to you when you subscribe. Subscription Fees are payable monthly in advance, starting on the date you subscribe.

5.2 Continuous Payment Authority (CPA) — Important

By subscribing to Cleo Pro, you authorise us to charge your Payment Method on a recurring monthly basis for your Subscription Fees. This is a Continuous Payment Authority (“CPA”), which means we are permitted to automatically charge your card or bank account each month without seeking separate authorisation from you for each payment.

Your first payment is taken on the day you subscribe. From your second month onwards, payments are taken on your billing date, which by default is the same date each month as the date you originally subscribed. You may update your billing date using Cleo’s functionality to align with your payday. If your billing date falls on a day that does not exist in a given month, payment will be taken on an alternative date within the same month.

Your right to cancel your CPA: You have the right to cancel this CPA at any time by contacting your card issuer or bank. Please note that cancelling the CPA does not itself cancel your Cleo Pro subscription — if you wish to cancel your subscription, you must do so separately using Cleo’s functionality (see Section 6 below). If you cancel the CPA without cancelling your subscription, Subscription Fees may still remain due and owing to us.

5.3 When payment is collected

Your first Subscription Fee is collected on the day you subscribe. Subsequent fees are collected monthly on the same date.

5.4 Failed payments

If your Payment Method does not have sufficient funds or a payment fails for any reason, we will make further reasonable attempts to collect payment over the following thirty (30) days. We reserve the right to collect any unpaid Subscription Fees from prior months along with any fees due for the then-current month. If payment cannot be collected, we may suspend or terminate your access to Cleo Pro.

5.5 Third-party charges

For some Payment Methods, your issuer may charge additional fees (for example, foreign transaction fees). These are payable by you in addition to our Subscription Fees.

5.6 Changes to Subscription Fees

We will give you at least thirty (30) days’ written notice before increasing your Subscription Fees.. If you do not agree to a fee increase, you may cancel your subscription before the increase takes effect (see Section 6). If you do not cancel, the increased fee will apply from the effective date of the change.

6. Cancelling or Downgrading Your Subscription

6.1 Cancelling your subscription

You may cancel your Cleo Pro subscription at any time using Cleo’s functionality. Your access to Cleo Pro features (with the exception of Early Income) will continue until the end of your then-current monthly billing period, after which your account will revert to the free version of Cleo. No refund of Subscription Fees will be made for any remaining days in your billing period following cancellation.

6.2 Downgrading to the free version

You may downgrade to the free version of Cleo at any time using Cleo’s functionality. Your access to Cleo Pro features (with the exception of Early Income) will continue until the end of your then-current monthly billing period, after which your account will revert to the free version of Cleo. No refund of Subscription Fees will be made upon downgrading.

6.3 Closing your Cleo Account

If you close your Cleo Account, your Cleo Pro subscription will also terminate. Please refer to the Platform Terms for the full terms relating to account closure and the consequences of closing your Cleo Account.

7. Early Income Access

7.1 What is the Early Income Access service?

The Early Income Access service allows you to access a portion of your wages or salary ahead of your scheduled pay date by requesting that we pay to you Early Income. The relevant wages or salary must have been earned by you but not yet paid to you by your employer.

The Early Income is not regulated as a consumer credit product, and you will not benefit from the protections of the Consumer Credit Act 1974 in connection with Early Income.

The Early Income service is optional and does not form part of your employment relationship with your employer.

7.2 How does it work?

When you request an Early Income, you agree that we are legally entitled to take an amount equal to the amount of the Early Income from the wages or salary that your employer will pay you during the pay period to which the Early Income relates.

You do this by assigning to us all your right, title and interest in and to the amounts that you receive from your employer related to the Early Income (the “Assigned Income”) with effect from the moment that we make the Early Income available to you.

We have no right, title or interest in or to your wages or salary themselves, and no right to assert a claim against you or your employer with respect to your wages or salary.

Once you receive the Assigned Income, we may process a repayment in  an amount equal to the Assigned Income from you on the date you choose (the “Assigned Income Repayment Date”), using your Payment Method. You agree to hold the Assigned Income on trust for us.  

7.3 Fees and interest

We do not charge interest or late fees in connection with any Early Income.

In addition to the Assigned Income, a fixed administrative fee of £0.99 is payable per Early Income request. This fee will be displayed to you at the time you request the Early Income, and by proceeding with your request you agree to pay it. The administrative fee covers payment processing costs associated with the disbursement of the Early Income and repayment of Assigned Income.

7.4 Requesting Early Income

To request Early Income, you must notify us of the requested Early Income amount and your chosen Assigned Income Repayment Date using the functionality of Cleo. You may request Early Income up to twice per billing period. A four (4) day cool-off period applies from the date of payment of Assigned Income, during which you will not be eligible to request a new Early Income.

If you are eligible, we may make the Early Income available to you, at your choice, through:

  • an electronic funds transfer to an account with a third party payment service provider (such as a bank) that you have linked to your Cleo Account (using the functionality of Cleo), or

  • any other means made available to you from time-to-time via Cleo’s functionality.

The minimum and maximum amount of each Early Income will be determined solely by us and will be disclosed at the time you request the Early Income.

By requesting Early Income, you represent to us that, to the best of your knowledge, you have earned the Assigned Income, that the Assigned Income is not subject to reduction in whole or in part by reason of an attachment of earnings order or other claim, and that by requesting Early Income, you have a reasonable expectation of receiving the Assigned Income in the next scheduled payment of wages or salary by your employer (a “Scheduled Salary Payment”).

You agree that:

  • you will not request Early Income in respect of any amount forming part of any Scheduled Salary Payment which you have assigned to, or agreed to pay to, any other provider of early wage access, and

  • you may not request, and will not receive, any Early Income with respect to any wages or salary that you have not yet earned from your employer or any other compensation that is not owed to you by your employer.

Where we agree to make Early Income available to you, we will send you an Early Income Agreement which relates to that Early Income. The Early Income Agreement will contain additional details relating to that Early Income, such as the amount of the Early Income and the initial Assigned Income Repayment Date chosen by you.

7.5 How we receive payment

Requesting Early Income does not ccreate any debt, and you do not borrow money from us. We may use your Payment Method to process your repayment of the Assigned Income on the Assigned Income Repayment Date.

Early Incomes are non-recourse. This means that if we are unable to process repayment of the Assigned Income, we will make further reasonable attempts over the thirty (30) days following the Assigned Income Repayment Date, after which we will stop repayment attempts. We have no further right to collect the outstanding amount after that point. Since Early Incomes are non-recourse, this means that you have no obligation to repay Early Income.   However, we may refuse to offer or provide a new Early Income to you if you have previously received Early Income but it is not repaid. 

If there are insufficient funds in your Payment Method on the Assigned Income Repayment Date, you authorise us to take a full or partial repayment of Assigned Income from any Payment Method during that thirty (30) day window.

You may choose to repay any outstanding Assigned Income voluntarily at any time using Cleo’s functionality.

We will not report any Early Income, or any missed or failed repayment of any Assigned Income, to credit reference agencies.

7.6 If you do not receive your wages or salary

If you do not receive the wages or salary to which the Assigned Income relates, for example, because your employer becomes insolvent, then there is no Assigned Income for us to collect.

If your wages are paid later than expected, we recommend contacting us via the in-app support function to request a change to your Assigned Income Repayment Date. This can help avoid a failed repayment and keep your Early Income eligibility unaffected.

7.7 Your responsibilities

You must promptly tell us if your employment ends, if your pay date changes, or if you know or reasonably believe that your next pay date will be delayed or reduced.

8. Changes to These Subscription Terms

We may update these Subscription Terms for the same reasons and following the same process as set out in the Platform Terms. We will give you at least two (2) months’ advance notice of any material change unless we are required to act more quickly for legal or regulatory reasons. If you do not accept a change, you may cancel your subscription before it takes effect.

9. Governing Law

These Subscription Terms are governed by English law (or the law of Scotland or Northern Ireland if you entered into your subscription in those jurisdictions) and are subject to the jurisdiction provisions set out in the Platform Terms.
